In these Terms and Conditions, the following definitions apply: "Service" refers to the legal advisory services offered by Naga Pillar, including contract review, business formation, and intellectual property protection. "User" or "You" refers to any individual or entity accessing our website or engaging our services. "We", "Us", or "Our" refers to Naga Pillar, located at 323 Silom Road, Bang Rak, Bangkok 10500, Thailand. "Agreement" refers to these Terms and Conditions together with any service-specific terms agreed upon during an engagement. "Content" refers to all text, images, and materials published on our website.

2. Acceptance of Terms

By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should discontinue use of our website and services.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services.

3. Description of Services

Naga Pillar provides legal advisory services in the following areas: Contract Review and Advisory (฿5,500 THB), Business Formation and Compliance Structuring (฿22,000 THB), and Intellectual Property Protection Strategy (฿43,000 THB). Each service is provided as a fixed-fee engagement with a defined scope and timeline as described on our website and agreed upon at the commencement of the engagement.

Our services are advisory in nature. We provide analysis, recommendations, and document preparation. We do not provide court representation or litigation services.

4. User Responsibilities

When engaging our services or using our website, you agree to provide accurate and complete information, respond to reasonable requests for information in a timely manner, use our website and services in compliance with applicable Thai laws, refrain from misrepresenting information or submitting fraudulent documents, and respect the confidentiality of any communications between you and Naga Pillar.

5. Intellectual Property

All content on this website, including text, graphics, logos, and design elements, is the intellectual property of Naga Pillar or its licensors. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written consent.

Documents and reports prepared as part of an engagement are delivered for the exclusive use of the client who commissioned them. Redistribution or commercial use of such materials requires written permission.

6. Payment Terms

All service fees are quoted in Thai Baht (THB). Payment is due according to the schedule agreed upon at the start of each engagement. We accept bank transfer and other payment methods as communicated during the engagement process.

Refund requests are evaluated on a case-by-case basis. If an engagement has not commenced substantive work, a partial or full refund may be available. Once deliverables have been produced, fees are considered earned and are generally non-refundable.

7. Service-Specific Terms

Contract Review: The scope of review is limited to the specific document(s) submitted. Our written summary reflects our professional opinion at the time of review and does not constitute a binding legal guarantee of any particular outcome.

Business Formation: We prepare and file documents on your behalf as part of the engagement scope. Approval of filings by government registries is subject to their processes and timelines, which are outside our control.

IP Protection: Our trademark analysis and strategy recommendations are based on available data at the time of the engagement. Registration outcomes depend on the decisions of relevant intellectual property offices.

8. Disclaimers

Our services are provided on an "as is" basis. While we strive for accuracy and thoroughness in all engagements, we do not warrant specific outcomes or results. Legal and regulatory environments can change, and our advisory reflects the state of affairs at the time it is delivered.

9. Limitation of Liability

To the maximum extent permitted by Thai law, Naga Pillar's total liability for any claim arising out of or relating to our services shall not exceed the amount of fees paid by you for the specific engagement in question. We shall not be liable for indirect, incidental, consequential, or punitive damages arising from the use of our services or website.

10. Indemnification

You agree to indemnify and hold harmless Naga Pillar, its team members, and affiliates from any claims, losses, or expenses (including legal fees) arising from your breach of these Terms and Conditions, your misuse of our services, or your provision of inaccurate or misleading information.

11. Termination

Either party may terminate an engagement by providing written notice. If you terminate an engagement after work has commenced, fees for completed work will remain due. We reserve the right to terminate or suspend services if you breach these terms, fail to provide necessary information, or engage in conduct that hinders our ability to perform our work professionally.

12. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the Kingdom of Thailand. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation and, if necessary, mediation.

13. General Provisions

Entire Agreement: These Terms and Conditions, together with our Privacy Policy and any engagement-specific terms, constitute the entire agreement between you and Naga Pillar.

Severability: If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any provision of these terms does not constitute a waiver of that provision.

Assignment: You may not assign or transfer your rights under these terms without our written consent.

14. Changes to These Terms

We may update these Terms and Conditions from time to time. Changes will be posted on this page with an updated date. Your continued use of our website or services after changes are posted constitutes your acceptance of the revised terms.
